1. Acceptance of Terms

Welcome to ADU Tiger, a service provided by Manushak, LLC ("Company," "we," "our," or "us"), a Delaware limited liability company. By accessing or using our website located at adutiger.com (the "Site"), submitting information through our online forms, or utilizing any of our services (collectively, the "Services"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (the "Agreement").

This Agreement constitutes a legally binding contract between you and Manushak, LLC. If you do not agree to all of these terms, you must not access or use our Services. Your continued use of the Site and Services following the posting of any changes to this Agreement constitutes acceptance of those changes.

You must be at least 18 years of age and legally capable of entering into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

2. Description of Services

ADU Tiger operates as a lead generation and contractor matching platform serving homeowners throughout all 50 United States. Since our founding in 2020, we have been committed to connecting homeowners with qualified, independent ADU builders and garage conversion specialists who can provide competitive quotes for ADU construction, garage conversions, and related home improvement projects.

Our Services include, but are not limited to:

• Collection and processing of homeowner project inquiries and quote requests
• Matching homeowners with up to four (4) qualified, independent ADU builders and garage conversion specialists in their service area
• Distribution of homeowner lead information to participating contractors in our network
• Facilitation of initial contact between homeowners and contractors
• Appointment scheduling and confirmation services
• Educational resources and content regarding ADU construction, garage conversions, permits, and project planning
• Financing guidance and referrals to third-party lending partners
• Customer support and inquiry resolution

ADU Tiger does not perform ADU construction or garage conversion services directly. All construction work is performed by independent contractors who maintain their own licenses, insurance, and business operations separate from Manushak, LLC.

3. Lead Generation and Information Sharing

BY SUBMITTING A QUOTE REQUEST OR PROVIDING YOUR CONTACT INFORMATION THROUGH OUR SITE, YOU EXPRESSLY CONSENT TO AND AUTHORIZE THE FOLLOWING:

• Sale of Lead Information: You understand and agree that ADU Tiger operates as a lead generation service. When you submit your information, we may sell, share, distribute, or otherwise transfer your contact information, project details, and other submitted data to multiple independent ADU builders, garage conversion specialists, home improvement companies, and other third-party service providers who may contact you regarding your project inquiry.
• Multiple Contractor Contact: You consent to being contacted by up to four (4) or more contractors, service providers, or their representatives who have purchased or received your lead information from us. Each contractor operates independently and may have their own sales processes and follow-up procedures.
• Third-Party Data Sharing: Your information may be shared with our business partners, affiliates, data processors, marketing partners, and other third parties who assist in our operations or who may offer products and services that may be of interest to you.
• Lead Resale: Contractors who receive your information may, in some cases, share or resell your information to subcontractors, partner companies, or other entities within their network.

The information you provide may be retained in our databases and shared with contractors and partners for an indefinite period unless you specifically request deletion in accordance with our Privacy Policy.

4. Communications Consent - Phone, SMS, and AI Technology

BY PROVIDING YOUR TELEPHONE NUMBER AND USING OUR SERVICES, YOU EXPRESSLY CONSENT TO THE FOLLOWING COMMUNICATIONS:

4.1 Telephone Communications

You consent to receive telephone calls from ADU Tiger, Manushak, LLC, our contractors, partners, and service providers at the telephone number(s) you provide. These calls may be for the purpose of project consultations, quote delivery, appointment scheduling, service updates, marketing offers, and customer service inquiries.

4.2 SMS/Text Message Communications

You expressly consent to receive SMS text messages and MMS multimedia messages at the mobile telephone number you provide. These messages may include:

• Appointment reminders and scheduling confirmations
• Quote notifications and contractor match alerts
• Service updates and project status information
• Promotional offers and marketing communications
• Follow-up messages regarding your project inquiry
• Customer satisfaction surveys and feedback requests

Message frequency may vary. Message and data rates may apply depending on your mobile carrier and plan. You may opt out of SMS communications at any time by replying "STOP" to any message. Reply "HELP" for assistance.

4.3 Artificial Intelligence and Automated Systems

YOU ACKNOWLEDGE AND CONSENT TO THE USE OF ARTIFICIAL INTELLIGENCE (AI), AUTOMATED SYSTEMS, AND ROBOTIC TECHNOLOGIES IN OUR COMMUNICATIONS WITH YOU. Specifically:

• AI-Powered Chatbots and Virtual Assistants: We may use AI-powered chatbots, virtual assistants, and automated messaging systems to respond to your inquiries, provide information, schedule appointments, and facilitate communications. These systems may simulate human conversation and may not always be identified as automated.
• Automated Telephone Systems: You may receive calls from automated telephone dialing systems, predictive dialers, pre-recorded voice messages, and AI-generated voice communications. These calls may be used for appointment reminders, follow-up communications, and marketing purposes.

These automated technologies help us provide efficient, timely service and ensure you receive prompt responses to your inquiries. You acknowledge that interacting with AI systems is a condition of using our Services and that you consent to such interactions.

5. Quote Requests and Project Submissions

When you submit a quote request through our Site, you represent and warrant that:

• All information provided is accurate, current, and complete
• You are the property owner or have authorization from the property owner to request quotes for ADU construction and garage conversion services
• You have a genuine interest in receiving contractor quotes and potentially hiring a contractor for your project
• The contact information provided belongs to you and you are authorized to receive communications at those contact points

All quotes and estimates provided by contractors through our platform are preliminary and subject to change based on actual site conditions, material availability, permit requirements, and other factors. Final pricing will be determined by the contractor you select following an on-site evaluation.

Submitting a quote request does not obligate you to hire any contractor or proceed with any project. However, you understand that contractors invest time and resources in responding to leads and preparing quotes.

6. Independent Contractor Relationships

All ADU builders, garage conversion specialists, and service providers accessible through ADU Tiger are independent businesses and are not employees, agents, or representatives of Manushak, LLC or ADU Tiger. We do not supervise, control, or direct the work performed by these contractors.

Each contractor in our network is responsible for:

• Maintaining appropriate state and local contractor licenses
• Carrying adequate liability insurance and workers' compensation coverage
• Complying with all applicable building codes, permit requirements, and regulations
• Providing their own warranties and guarantees for workmanship
• Handling all aspects of project execution, including materials, labor, and scheduling

Any contract for ADU construction or garage conversion services will be directly between you and the contractor you select. ADU Tiger is not a party to such agreements and has no liability for contractor performance, workmanship, materials, or compliance with contractual terms.

7. Warranties and Disclaimers

DISCLAIMER OF WARRANTIES: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MANUSHAK, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

• Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• Any warranties regarding the quality, reliability, or availability of our Services
• Any warranties that our Services will be uninterrupted, error-free, or secure
• Any warranties regarding the qualifications, reliability, or performance of contractors in our network
• Any warranties regarding the accuracy of quotes, estimates, or information provided

We do not warrant or guarantee any specific results from using our Services, including but not limited to the quality of contractor matches, the competitiveness of quotes received, or the outcome of any ADU construction or garage conversion project.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Manushak, LLC, ADU Tiger, and our officers, directors, employees, agents, affiliates, and partners shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, arising out of or related to:

• Your use of or inability to use our Services
• Any conduct or content of any contractor, third party, or other user
• Any work performed by contractors connected through our platform
• Any communications, including AI-generated communications, sent through our systems
• Unauthorized access to or alteration of your data or transmissions
• Any other matter relating to the Services

In no event shall our total liability to you for all claims arising from or related to these Terms or your use of the Services exceed one hundred dollars ($100.00) or the amount you paid to us in the twelve (12) months preceding the claim, whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless Manushak, LLC, ADU Tiger, and our officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of another party
• Any dispute between you and any contractor
• Any inaccurate or false information you provide

10. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, controversy, or claim arising out of or relating to these Terms, our Services, or any communications between you and us shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules. The arbitration shall take place in the State of Delaware.

YOU AND MANUSHAK, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

The arbitrator's award shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

11. Governing Law and Jurisdiction

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

For any matters not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.

12. Modifications to Terms

We reserve the right to modify, amend, or update these Terms at any time in our sole discretion. Changes will be effective immediately upon posting to the Site. The "Last Updated" date at the top of these Terms indicates when they were last revised.

Your continued use of our Services after any modifications indicates your acceptance of the updated Terms. We encourage you to review these Terms periodically.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

These Terms, together with our Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and Manushak, LLC regarding your use of the Services and supersede all prior agreements, understandings, and communications.
